Terms of Use for Music and Products

These Terms of Use  govern your access to and use of the music and products provided by SaiXP Media, including any music tracks, compositions, sound effects, samples, loops, and any other related content . By accessing, downloading, or using our Music and Products, you agree to these Terms.

1. License Grant

SaiXP Media grants you a non-exclusive, non-transferable, royalty-free license to use the Music and Products in accordance with the terms outlined in this document. This license is provided solely for the permitted uses listed below. You are not permitted to resell, redistribute, or sublicense the Music or Products in any way, except as expressly authorized under these Terms.

2. Permitted Uses

You may use the Music and Products in the following ways:

• Personal Use: You may use the Music for personal enjoyment, listening, or non-commercial creative projects.
   
• Commercial Use: You may use the Music in commercial projects, including but not limited to videos, podcasts, film, television, online content, social media posts, presentations, advertisements, and more, as long as such projects do not involve direct sale or redistribution of the Music or Products.
   
• Content Creation: You may use the Music in the production of content for platforms like YouTube, Vimeo, Twitch, TikTok, Instagram, etc., as long as such content is not sold directly or used to create derivative works that you intend to sell.
   

3. Prohibited Uses

The following uses of the Music and Products are strictly prohibited:

• Reselling or Redistributing: You are not permitted to sell, license, sublicense, distribute, or otherwise provide the Music or Products to third parties, whether in their original form or as part of a larger work. This includes, but is not limited to, selling, renting, or lending the Music and Products.
   
• Creating Derivative Works for Sale: You may not create derivative works or modifications of the Music or Products with the intent to sell or distribute the modified version.
   
• Public Performance (for profit): You may not use the Music or Products in any public performance where an entrance fee is charged, or the performance itself is a paid event unless expressly agreed to in writing by SaiXP Media.
   
• Using Music in Products for Resale: You cannot incorporate the Music into physical products (e.g., CDs, vinyl, downloadable music files, etc.) that you intend to sell or redistribute.
   
• Use in Unlawful or Inappropriate Contexts: You may not use the Music in any context that promotes illegal activities, hate speech, violence, discrimination, or other unethical content.
   

4. Intellectual Property Rights

You acknowledge that the Music and Products, including all associated intellectual property rights, are owned by SaiXP Media or its licensors. You are granted a license to use the Music and Products only as specified herein. No ownership rights are transferred to you under these Terms.

6. No Sub-licensing

You may not sub-license, assign, or transfer your rights to the Music or Products to any other party without explicit written consent from SaiXP Media.

7. Attribution

If the Music and Products are used in a publicly distributed project (e.g., YouTube video, podcast, film), you are required to provide appropriate attribution in the format specified by SaiXP Media. This may include crediting the creator(s) of the Music and Products in the credits or description of the project.

8. Indemnification

You agree to indemnify, defend, and hold harmless SaiXP Media, its affiliates, licensors, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including legal fees) arising from your use of the Music and Products in violation of these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, SaiXP Media shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of the Music and Products, even if SaiXP Media was advised of the possibility of such damages. In no event shall SaiXP Media's liability exceed the amount paid by you for the Music or Products in question.

10. Termination

SaiXP Media reserves the right to terminate your license to use the Music and Products if you breach any of the terms of this agreement. Upon termination, you must immediately cease using the Music and Products and destroy any copies of the Music and Products in your possession.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the United Kingdom, depending on your location, without regard to its conflict of law provisions.

12. Modifications to Terms

SaiXP Media reserves the right to modify or update these Terms at any time. Any changes to the Terms will be posted on this page, and the updated Terms will be effective immediately upon posting. Your continued use of the Music and Products after such changes constitutes your acceptance of the modified Terms.
